Placing Foreign Funds in Japan

Our partner companies would be ready to place your funds according to the classification of your funds under Fineancial Instrument and Exchage Act. The placement of funds, including REIT, in Japan is subject to Financial Instrument and Exchange Act.(FIEA),which used to be called Securities and Exchange Law.
Under FIEA overseas funds are classified into two kinds of secuirities,i.e. "Scurities" under Article 2-1 of FIEA and "Deemed Securities " under Article 2-2 of under FIEA. Roughly speaking, to sell "Scurities" under Article 2-1 of FIEA,such as stocks and bond, you need Type 1 Finacial Instrument and Exchange License, and to sell "Deemed Securities "under Article 2-2 of FIEA you need Type two Financial Instruement and Exchange License, as stipulated in Arctile 28-1 and Article 28-2
The foreign funds classified as "Securities"is defined in Article 2-1-x and Article 2-1-xi, whereas the foreign funds classified as "Deemed Securities" is defined in Article 2-2-vi.

1)"Securities" for Type1 Financial Instrument and Exchange Licnese;

Beneficiary securities, investment trusts or foeign investment trusts prescribed in the Act on Investment Trust and Invetment Corporation.(AITIC, Article 2-22 of AITIC ) -Article 2-1-xi
Investment securities or investment corporation bonds or foreign investment securities prescribed in the Act on Investment Trust and Invetment Corporation (Article 2-23 of AITIC ).

2)"Deemed Securities" for Type2 Financial Instrument and Exchange Licnese;

Rights based on laws and regulations of a Foreign State which are similar to those specified in the preceeding items. (i.e. Article 2-2-v)
